LIMITED COMPANY

I have a business name which is a sole proprietor but I want to incorporate it to a limited company. kindly advice on
the way forward and the total cost of doing that.

  1. Prepare forms 1,2,6, 8 & Statement of nominal capital from here----> http://www.attorney-general.go.ke/index.php/company-forms-downloads/ .
  2. Prepare a form of cessation of business
  3. Proceed to huduma center and get the form 2 and the statement of nominal capital assessed for stamp duty, pay and get documents embossed
  4. proceed to sheria house and pay the requisite fees for the cessation and new registration
    5.Submit the registration documents, cessation of business and original certificate of registration of business name at the registry.
    …or so, I think!

The law/ procedures have changed…the new company Act 2015 has been effected since Feb this year…no need of memos, so no need of lawyers/cps…
But still you can inbox…filling those documents is still a challenge just like filling a bizness name/partnership forms…or even society registration

Those forms are straight foward. Problem is that Sheria house seem unprepared for them.

They keep on sending people back and forth as they expect a particular manner of filling them…especially on the registration part.
The part before stamp duty payment should not be a problem
