A Proper Land Purchase Agreement


This agreement (“Agreement”) is made and entered into as of [insert date] by and between [insert name of buyer], with an address at [insert address of buyer], (“Buyer”), and [insert name of seller], with an address at [insert address of seller], (“Seller”).

PROPERTY. Seller agrees to sell to Buyer, and Buyer agrees to purchase from Seller, the following described property located in [insert location] Kenya (the “Property”):

PURCHASE PRICE. The purchase price for the Property is [insert purchase price] Kenya Shillings (KES) (the “Purchase Price”). The Purchase Price shall be paid as follows:
(a) A deposit of [insert deposit amount] KES shall be paid by Buyer to Seller upon execution of this Agreement.

(b) The balance of the Purchase Price shall be paid by Buyer to Seller on or before [insert date of final payment].

TITLE AND POSSESSION. Seller warrants that it has good and marketable title to the Property, and that the Property is free from any encumbrances, liens, or claims. Seller shall transfer and deliver possession of the Property to Buyer on [insert date of possession].

CLOSING. The closing of the sale shall take place at a time and place agreeable to Buyer and Seller, but no later than [insert date of closing]. At closing, Seller shall deliver to Buyer a good and marketable title to the Property, free and clear of any liens, claims, or encumbrances.

REPRESENTATIONS AND WARRANTIES. Seller represents and warrants to Buyer as follows:

(a) Seller is the lawful owner of the Property and has the right to sell the Property to Buyer.

(b) The Property is in compliance with all applicable laws, regulations, and zoning ordinances.

(c) There are no outstanding liens, encumbrances, or claims against the Property.

(d) Seller has not received any notice of any pending or threatened legal action or claim relating to the Property.

DEFAULT AND REMEDIES. In the event of default by either party under this Agreement, the non-defaulting party may pursue any and all remedies available under Kenyan law, including but not limited to specific performance, damages, or termination of this Agreement.

GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of Kenya.

ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and understandings.
